GP Stakes ("we", "us", "our") provides a directory and intelligence platform for the private markets industry. Our services include a professional directory, company information, market intelligence, and related tools accessible through platform.gp-stakes.com.

2. Account Registration

To access certain features, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account credentials secure. You are responsible for all activity under your account.

3. Acceptable Use

You agree not to:

• Scrape, crawl, or systematically download data from the platform
• Redistribute, resell, or sublicense any data or content from the platform
• Use the platform for harassment, defamation, or any unlawful purpose
• Attempt to gain unauthorised access to any part of the platform or its systems
• Use automated tools to access the platform without our prior written consent
• Interfere with or disrupt the platform or its infrastructure

4. Data Accuracy

Information provided through our platform, including directory data, market intelligence, and analytics, is provided "as is". While we make reasonable efforts to ensure accuracy, we do not guarantee that all information is complete, current, or error-free. 5. Intellectual Property

6. Subscription and Billing

• Paid subscriptions are billed through Stripe.
• Subscriptions auto-renew unless cancelled before the end of the current billing period.
• You may cancel your subscription at any time through your account settings.
• Refunds are provided at our discretion and in accordance with applicable law.
• We reserve the right to change pricing with 30 days' notice.

7. Limitation of Liability

To the maximum extent permitted by law, GP Stakes shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of or inability to use the platform.

Our total aggregate liability for any claims arising from these terms or your use of the platform shall not exceed the amount you paid to us in the 12 months preceding the claim.

8. Termination

We may suspend or terminate your account at any time if we reasonably believe you have violated these Terms of Service. Upon termination, your right to access the platform ceases immediately. We will retain your data in accordance with our Privacy Policy.

9. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of England and Wales.

10. Dispute Resolution

Any disputes arising from these terms shall first be resolved through good-faith negotiation. If a resolution cannot be reached within 30 days, the dispute shall be submitted to the exclusive jurisdiction of the courts of England and Wales.
